These Terms & Conditions (“Terms”) form a legally binding agreement between you and TAFSI LTD governing your use of Dukanoh (“the Service”). By creating an account or using the Service, you agree to these Terms in full. If you do not agree, do not use the Service.
1. Definitions
“App” — the Dukanoh mobile marketplace application for iOS and Android.
“Buyer” — a user who purchases items through the App.
“Seller” — a user who lists items for sale through the App.
“Listing” — a product or service posted for sale on the App.
“Transaction” — a completed purchase between a Buyer and Seller facilitated by the App.
“Escrow” — the temporary holding of a Buyer’s payment by our payment processor pending confirmation of delivery.
“Dukanoh Safe Checkout” — the discretionary purchase resolution scheme described in clause 8.
“Prohibited Items” — items and content not permitted on the platform as defined in our Prohibited Items Policy.
“Intellectual Property Rights” — all patents, copyright, trade marks, design rights, and other IP rights.
“User Content” — any content you upload, post, or submit through the App.
2. Eligibility
To use the Service you must:
Be at least 18 years of age.
Have legal capacity to enter binding contracts under English law.
Provide accurate, current, and complete registration information.
Not be prohibited from using the Service by applicable law.
Not have had a previous account suspended or terminated by Dukanoh for breach of these Terms.
We reserve the right to verify eligibility and refuse or terminate access at our discretion.
3. The Dukanoh Marketplace
Dukanoh is a peer-to-peer and business-to-consumer mobile marketplace enabling users to list, discover, buy, and sell items. Dukanoh acts as a platform intermediary and is not a party to the contract of sale between Buyer and Seller, except where we operate Dukanoh Safe Checkout under clause 8.
We reserve the right to modify, suspend, or discontinue features at any time with reasonable advance notice where practicable.
4. Seller Obligations
By listing an item on Dukanoh, you (as Seller) agree to the following:
4.1 Listing Accuracy
All Listings must accurately describe the item, including condition, defects, measurements, and any alterations.
Photographs must be your own originals and genuinely represent the item being sold.
Pricing must be in GBP and must not be misleading.
You must not list the same item across multiple active Listings simultaneously.
4.2 Ownership and Authority
You warrant that you are the legal owner of the item or have full authority to sell it.
You warrant that the item is not subject to any lien, charge, or third-party claim.
You must not list counterfeit, stolen, or illegally obtained items under any circumstances.
4.3 Dispatch and Fulfilment
Once a sale is confirmed, you must dispatch the item within 5 days.
Items must be packaged securely to prevent damage in transit.
You must upload tracking information to the App as soon as it is available.
Failure to dispatch within the agreed window entitles the Buyer to a full refund under clause 8.
4.4 Seller Fees
Dukanoh charges 0% commission per completed sale — sellers receive 100% of the item price. Dukanoh’s revenue is generated from buyer-side fees only. The current fee schedule is published at www.dukanoh.com/fees.
4.5 Listing Visibility and Ranking
Dukanoh does not guarantee that any Listing will receive views, engagement, or result in a sale. The visibility and ranking of Listings in search results and browse feeds is determined by the following parameters:
Pro subscription status — Dukanoh Pro subscribers receive elevated placement in search and browse results over non-Pro Listings. Listings that are promoted via Story Boosts are labelled “Sponsored” and are clearly distinguished from organic content.
Recency — more recently listed or relisted items receive higher initial placement in relevant feeds.
Dukanoh reserves the right to adjust ranking parameters at any time with reasonable notice. Nothing in these Terms creates an obligation on Dukanoh to maintain any particular level of traffic, visibility, or commercial activity for any Listing or Seller account.
4.6 Tax Reporting Obligations (UK Platform Information Reporting Regulations 2023)
Dukanoh is a “Platform Operator” for the purposes of the UK Platform Information Reporting Regulations 2023 (SI 2023/817) (“PIRRR”), which implement the OECD DAC7 framework in UK law. We are legally required to collect, verify, and report certain information about qualifying Sellers to His Majesty’s Revenue & Customs (“HMRC”) each calendar year.
4.6.1 Reporting Threshold
You become a “Reportable Seller” if, in any calendar year, you complete 29 or more sales or receive aggregate consideration of €2,000 or more (approximately £1,690 at current rates — the authoritative threshold is the euro figure as set by UK PIRRR 2023) through the Platform. Dukanoh monitors your activity against these thresholds on a rolling basis throughout the year.
4.6.2 Required Information
Once you approach or meet the reporting threshold, we are required to collect and verify the following before you may continue selling:
Your full legal name and date of birth;
Your home address; and
Your UK Tax Identification Number — either your National Insurance (NI) number or Unique Taxpayer Reference (UTR).
You can provide this information at any time via the in-app Tax information screen (accessible from your profile). We encourage you to submit your details in advance so there is no interruption to your selling activity.
4.6.3 Listing Suspension
If you reach the threshold without having provided the required information, your active Listings will be suspended and will not be visible to other users until the information is supplied. Submitting the required information promptly will restore full listing visibility. Dukanoh accepts no liability for any loss of sales or revenue arising from a suspension under this clause.
4.6.4 Refusal to Provide Information
If you refuse to provide the required information, or provide information that we are unable to verify as accurate, we reserve the right to permanently suspend or terminate your seller account under clause 21. We may in any event be required to report such information as we do hold about you to HMRC, together with a notation that verification was refused or unsuccessful.
4.6.5 Annual HMRC Report
Dukanoh will submit a report to HMRC by 31 January each year covering the preceding calendar year. The report will include, in respect of each Reportable Seller, your legal name, home address, date of birth, Tax Identification Number, the number of completed sales, and the gross consideration received. You will receive a copy of the information we have reported about you upon request made to legal@dukanoh.com.
4.6.6 Accuracy of Tax Information
You warrant that all tax information you provide to us is accurate, complete, and up to date. You must notify us promptly of any material changes. Providing false or misleading information to avoid tax reporting obligations may constitute a criminal offence and Dukanoh will cooperate fully with any HMRC or law-enforcement investigation.
4.6.7 Your Own Tax Obligations
Dukanoh’s reporting obligations under UK PIRRR 2023 are separate from and do not discharge your own personal tax obligations. Selling on Dukanoh may give rise to income tax, capital gains tax, or VAT liabilities depending on the nature, scale, and frequency of your selling activity. We strongly recommend you seek independent tax advice to understand your own position. HMRC publishes guidance on the tax treatment of online selling at www.gov.uk. Dukanoh does not provide tax advice and accepts no liability for any tax liability you incur as a result of selling through the platform.
5. Buyer Obligations
You must complete payment at the point of purchase. Placing an order constitutes a binding offer to buy.
You must confirm receipt of your order within 48 hours of the delivery being marked as delivered, or funds will be automatically released to the Seller.
If you have an issue with your order, you must raise it through the in-app dispute process within 48 hours of confirmed delivery — not after.
You must not attempt to complete a transaction off-platform to circumvent Dukanoh Safe Checkout or Dukanoh’s fees.
You must not make false or vexatious dispute claims.
6. Prohibited Items Policy
Certain items may not be listed or sold on Dukanoh. A full and up-to-date list is maintained in our Prohibited Items Policy, available at www.dukanoh.com/prohibited-items. The following categories are always prohibited:
Illegal goods — any item whose possession, sale, or distribution is prohibited by UK law.
Counterfeit goods — any item bearing a trade mark or branding without authorisation from the rights holder.
Stolen goods — any item obtained through theft or fraud.
Weapons and controlled items — firearms, knives subject to sale restrictions, offensive weapons, and items requiring a licence.
Dangerous goods — items that pose a safety or health risk and are not fit for sale.
Adult content — sexually explicit material.
Personal data — databases, documents, or files containing other individuals’ personal information.
We reserve the right to remove any Listing that we believe, in our sole discretion, violates this policy, applicable law, or community standards. Repeated violations will result in account suspension or termination.
7. Payment and Escrow Mechanism
Dukanoh operates a protected payment model for all Transactions. All payments are collected, held, and processed by Stripe Payments UK Limited, an Electronic Money Institution authorised and regulated by the Financial Conduct Authority (FCA Reference: 900461). Dukanoh does not at any time hold, possess, or control customer funds. Dukanoh acts as a platform coordinator, instructing Stripe to release funds upon confirmation of delivery in accordance with these Terms.
Payment collection: When a Buyer completes a purchase, payment is collected immediately by Stripe and held pending confirmation of delivery.
Dispatch window: The Seller is notified and must dispatch within the timeframe stated in clause 4.3.
Delivery confirmation: Once the Buyer confirms receipt (or 48 hours elapse after delivery without a dispute), Dukanoh instructs Stripe to release funds to the Seller.
Dispute hold: If the Buyer raises a dispute within 48 hours of delivery, payment remains held until the dispute is resolved under clause 13.
Seller payout: Released funds are transferred to the Seller’s nominated bank account by Stripe in accordance with the payout schedule configured on the Seller’s connected Stripe account. Payout timing is determined by the Seller’s own account settings and is not controlled or guaranteed by Dukanoh. Typical processing times are 1–7 business days from the date of release, subject to standard banking clearance.
Cancellations: If a Seller fails to dispatch within the required window, the Buyer is entitled to a full refund and Dukanoh will instruct Stripe to return payment to the Buyer.
Important: Funds held by Stripe are not protected by the Financial Services Compensation Scheme (FSCS). Stripe’s own terms and privacy policy govern their processing of payment data.
8. Dukanoh Safe Checkout
Dukanoh Safe Checkout is a discretionary purchase resolution scheme available on eligible Transactions. It is not a contract of insurance and is not regulated as such. It is a voluntary scheme operated by Dukanoh to help resolve transactional disputes between Buyers and Sellers.
Dukanoh Safe Checkout applies to Transactions with an item value of up to £1,000. Transactions above this value are not covered by Dukanoh Safe Checkout, though your statutory rights remain unaffected.
8.1 What is Covered
Dukanoh will use reasonable endeavours to facilitate a refund of the original purchase price (up to £1,000) where:
Your item is not delivered within a reasonable period and cannot be traced.
The item received is significantly not as described — materially different in condition, specification, or authenticity from the Listing.
The item received is counterfeit.
The item arrives damaged due to inadequate packaging by the Seller.
8.2 How Claims are Funded
Where a Dukanoh Safe Checkout claim is upheld, Dukanoh will seek to fund the refund through the following in order of priority:
Seller recovery — from funds held by Stripe that have not yet been released to the Seller.
Stripe dispute mechanisms — where Stripe’s payment dispute or chargeback process applies.
Dukanoh discretion — in limited circumstances, Dukanoh may at its sole discretion contribute toward a refund where recovery through the above channels has been exhausted.
Where funds have been automatically released to a Seller prior to a dispute being raised, Dukanoh will use reasonable efforts to recover those funds but cannot guarantee recovery. In such cases your recourse may be against the Seller directly or via your card issuer’s chargeback process.
8.3 How to Claim
Raise a dispute via the in-app “Report an Issue” button within 48 hours of the delivery being marked as delivered.
Provide photographic or other evidence of the issue.
Dukanoh’s Trust & Safety team will review the claim and respond within 7 days.
If the claim is upheld, a refund will be processed within 5–10 business days to your original payment method, subject to successful recovery under clause 8.2.
8.4 Exclusions
Dukanoh Safe Checkout does not apply where:
The Transaction value exceeds £1,000.
The dispute is raised after the 48-hour window.
The item has been used, altered, or damaged after receipt by the Buyer.
The Buyer has confirmed receipt before raising the dispute.
The issue is a change of mind rather than a material discrepancy.
The Buyer attempted to complete the transaction off-platform.
The item was listed in a category explicitly excluded from Dukanoh Safe Checkout (see www.dukanoh.com/safe-checkout for exclusion list).
Consumer rights: Dukanoh Safe Checkout is in addition to, and does not replace, your statutory rights under the Consumer Rights Act 2015, the Consumer Contracts Regulations 2013, and the Digital Markets, Competition and Consumers Act 2024. You retain all statutory rights regardless of whether a Dukanoh Safe Checkout claim is upheld.
9. Dukanoh Pro Subscription
9.1 Overview
Dukanoh Pro is an optional paid subscription for verified sellers that unlocks enhanced marketplace tools. To access Dukanoh Pro you must have completed seller verification (Stripe Connect onboarding) and be in good standing with Dukanoh.
9.2 Plans and Pricing
Founder Plan — £6.99/month: Available to the first 150 subscribers only. The monthly price is locked for the duration of a continuous, uninterrupted active subscription. Once all 150 Founder spots are taken, this plan is no longer available to new subscribers. Cancellation terminates Founder pricing permanently — re-subscribing after cancellation will be charged at the then-current Standard Pro rate.
Standard Pro — £9.99/month: Available once Founder spots are exhausted, or as the standard plan for new subscribers thereafter.
All prices are in GBP inclusive of any applicable tax.
9.3 Free Trial
Eligible verified sellers may start a 14-day free trial. The free trial is available once per account — it cannot be restarted or transferred. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan at the applicable monthly rate.
9.4 Billing and Auto-Renewal
Dukanoh Pro subscriptions are billed monthly through our in-app purchase provider. Payment is charged to the payment method associated with your App Store or Google Play account at the start of each billing period. Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date.
9.5 Cancellation and Cooling-Off
You may cancel your Dukanoh Pro subscription at any time through your App Store or Google Play subscription settings. Cancellation takes effect at the end of the current billing period. You retain access to Pro features until then. Dukanoh does not issue pro-rata refunds for partial billing periods, except where required by applicable consumer law.
Under the Consumer Contracts Regulations 2013, you have a 14-day right to cancel a digital subscription. By starting your Dukanoh Pro subscription or free trial and accessing Pro features before that 14-day period expires, you expressly request that we begin supplying the digital service immediately and acknowledge that your right to cancel without charge is therefore lost once the service has commenced. This does not affect any statutory rights you have if the service is faulty or not as described.
9.6 Pro Features
Dukanoh Pro includes the following features while your subscription is active:
Pro ranking: Your listings are given elevated placement in search and browse results, subject to Dukanoh’s content policies and trust score thresholds (see clause 4.5).
Analytics dashboard: Earnings, views, saves, and performance metrics for the last 30 days.
Collections: Organise your listings into named collections.
Share Kit: Generate branded sharing cards for individual listings.
Price Drop badge: Automated badge and buyer notification when you reduce a listing price by 10% or more.
Story Boosts (3 free/month): Promote listings into the Stories feed for 24 hours; additional boosts available as in-app purchases.
Pro badge and Fast Responder badge: Trust signals displayed on your profile.
Bulk price editing: Adjust prices across multiple listings at once.
We reserve the right to add, modify, or remove Pro features with reasonable notice. Material reductions to core Pro features that significantly diminish the value of the subscription will be communicated at least 30 days in advance and may entitle you to cancel and receive a pro-rata refund for the unused period.
9.7 Subscription Expiry
If your subscription expires or is not renewed, Pro features are removed immediately. Your listings, account data, and collections remain intact.
10. Story Boosts
Story Boosts are a paid feature that promotes a listing into the Dukanoh Stories feed for a fixed duration.
Standard (non-Pro) sellers: Boosts are available as consumable in-app purchases at £1.49 per boost. You may hold up to 5 simultaneously active boosts.
Dukanoh Pro sellers: 3 free boosts are included each month (resetting on your subscription anniversary). Additional boosts are available at £0.99 per boost. Pro sellers may hold up to 10 simultaneously active boosts.
Unused free Pro boosts do not roll over to the following month.
Purchased boosts are non-refundable once redeemed against a listing. If a boosted listing is deleted before the boost expires, no refund is issued.
Boosts are processed through Apple App Store or Google Play in-app purchase systems. Their terms and refund policies apply to the payment transaction.
11. Stories
Dukanoh Stories is a 24-hour listing showcase feature visible to all users on the home feed.
Stories are created automatically when a seller activates a Story Boost on a listing (see clause 10). Sellers cannot post Stories independently of the Boost system.
Story content consists of the listing’s existing images and details — no additional user content is required.
Stories expire automatically after 24 hours from activation. Expired Stories are removed from the feed and are not retrievable by other users.
Boosted listings displayed in Stories are labelled “Sponsored” and are clearly distinguished from organic feed content.
All listing content displayed in Stories is subject to our Prohibited Items Policy (clause 6) and Acceptable Use obligations (clause 16). We reserve the right to remove any Story that violates these standards.
12. Ratings and Reviews
After each completed Transaction, both Buyer and Seller may leave a rating and written review. The following rules apply:
Reviews must be honest, based on your genuine experience of the Transaction.
Reviews must not contain personal insults, discriminatory language, or false statements of fact.
You must not offer or accept any incentive in exchange for a positive review.
Reviews cannot be edited once submitted, but may be removed by Dukanoh if they violate these rules.
Sellers may respond publicly to reviews. Responses are subject to the same content standards.
Dukanoh reserves the right to remove reviews that violate our guidelines without notice.
Ratings aggregate into a visible trust score displayed on seller profiles.
If you believe a review is false, defamatory, or was submitted in bad faith, you may report it via the in-app report function or by contacting support@dukanoh.com.
13. Platform Dispute Resolution
This clause governs disputes between Buyers and Sellers on the platform. For legal disputes between you and Dukanoh, see clause 25.
13.1 Raising a Dispute
Disputes must be raised via the in-app “Report an Issue” function within 48 hours of confirmed delivery.
Both parties will be given the opportunity to submit evidence.
Dukanoh’s Trust & Safety team will review the evidence and issue a decision within the review window stated in clause 8.2.
13.2 Appeals
Either party may appeal a dispute decision within 7 days of the decision being issued.
Appeals must include new evidence not previously submitted.
Appeal decisions are final within the platform.
13.3 Limits of Dukanoh’s Role
Dukanoh acts as a neutral mediator in platform disputes. We are not a court and our dispute decisions are not legally binding. Either party retains the right to pursue the matter through the courts regardless of the platform outcome.
14. Shipping and Delivery
Sellers are responsible for shipping items to Buyers. The following applies:
Sellers must use a tracked shipping service for all Transactions.
Tracking information must be uploaded to the App promptly after dispatch.
Risk of loss or damage passes from Seller to Buyer upon confirmed delivery.
If an item is lost in transit before delivery, Dukanoh Safe Checkout applies and the Seller should claim against their chosen carrier.
Dukanoh does not provide a shipping service and is not liable for carrier delays, losses, or damage.
Sellers must comply with all applicable postal regulations, including restrictions on sending certain categories of goods.
15. Intellectual Property
15.1 Our IP
All IP Rights in the App, its design, code, and branding (excluding User Content) belong to TAFSI LTD or its licensors. You receive only a limited, revocable, non-exclusive licence to use the App for its intended purpose.
15.2 User Content Licence
By submitting User Content you grant us a worldwide, royalty-free, non-exclusive, sublicensable licence to use, reproduce, adapt, and display it for operating and promoting the Service. You retain ownership.
15.3 Warranties
You warrant that your User Content is your own, does not infringe any third party’s IP Rights, and complies with these Terms.
16. Acceptable Use
You must not use the Service to:
List or facilitate the sale of Prohibited Items (clause 6).
Submit false, misleading, or fraudulent Listings or reviews.
Harass, threaten, or abuse other users.
Impersonate any person or misrepresent your identity or authority.
Attempt to complete transactions off-platform to bypass fees or Dukanoh Safe Checkout.
Transmit spam, malicious code, or unauthorised automated requests.
Scrape, copy, or commercially exploit any content or data from the platform without our written consent.
Interfere with or attempt to gain unauthorised access to any part of the Service or its infrastructure.
Violate any applicable law, including consumer protection, fraud, AML, or data protection legislation.
17. Online Safety Act 2023 & Content Moderation
Dukanoh operates under duties imposed by the Online Safety Act 2023. As a user, you:
Must not post, list, or distribute illegal content as defined under the OSA, including content related to child exploitation, terrorism, fraud, and the sale of prohibited goods.
Acknowledge that Dukanoh operates automated and human content moderation systems and may remove any content that we determine, in good faith, violates applicable law or our policies.
Have the right to appeal any content removal or account restriction through the process described at www.dukanoh.com/appeals.
Acknowledge that Dukanoh may be required by law to report certain categories of illegal content to the National Crime Agency, HMRC, or other authorities without notifying you.
Our full content moderation approach, including how we handle reports and appeals, is set out in our Transparency Report, published annually at www.dukanoh.com/transparency.
18. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
Warranties of merchantability, fitness for purpose, or non-infringement.
That the Service will be uninterrupted, error-free, or secure at all times.
As to the accuracy or completeness of Listings, reviews, or any user-submitted content.
As to the quality, authenticity, safety, or legality of items listed by Sellers.
Dukanoh does not vet or guarantee the accuracy of Seller Listings. Buyers should exercise reasonable care and make use of Dukanoh Safe Checkout and review systems when transacting. Nothing in these Terms affects your statutory rights as a consumer.
19. Limitation of Liability
To the fullest extent permitted by law:
Our total aggregate liability to you shall not exceed the greater of: (a) GBP 100; or (b) the total fees paid by you to Dukanoh in the 12 months preceding the claim.
We are not liable for: loss of profits, loss of data, loss of goodwill, business interruption, or any indirect, special, or consequential loss.
We are not liable for the acts or omissions of Sellers, the quality or authenticity of items listed, or losses arising from a Seller’s failure to fulfil an order (Dukanoh Safe Checkout under clause 8 applies in such cases).
We are not liable for failures caused by events outside our reasonable control (force majeure), including carrier failures, payment processor outages, or infrastructure failures.
Nothing in these Terms limits liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any liability that cannot be excluded under English law.
20. Indemnification
You agree to indemnify and hold harmless TAFSI LTD and its personnel from any claims, liabilities, and costs (including legal fees) arising from: (a) your use of the Service; (b) your User Content or Listings; (c) your breach of these Terms; or (d) your violation of any third party’s rights.
21. Termination
We may suspend or terminate your account at any time with or without cause, including for breach of these Terms, fraudulent activity, or violation of applicable law. Where practicable we will notify you of the reason.
You may close your account at any time via App settings. Outstanding Transactions must be completed or cancelled before closure. We will not release held escrow funds until pending Transactions are resolved.
Your use of the Service is governed by our Privacy Policy. By using the Service you confirm you have read and understood it.
23. Changes to These Terms
We will give you at least 14 days’ notice of material changes via the App or email. Continued use after the effective date constitutes acceptance. If you disagree, you must close your account before the change takes effect.
24. Governing Law and Jurisdiction
These Terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to clause 25. Consumers in Scotland or Northern Ireland may also bring proceedings in their local courts.
We operate in compliance with the Digital Markets, Competition and Consumers Act 2024, which strengthens consumer rights on digital platforms. These Terms do not limit any rights you have under that Act.
25. Dispute Resolution (You vs. Dukanoh)
For disputes between you and Dukanoh (as opposed to buyer/seller platform disputes under clause 13):
Contact us first at support@dukanoh.com. We aim to resolve complaints within 15 business days.
If unresolved within 30 days, either party may refer the matter to a mutually agreed mediator. We will suggest a mediator if you request one.
Failing mediation, either party may bring proceedings before the courts in accordance with clause 24.
TAFSI LTD is a UK-registered company and is not enrolled in a formal alternative dispute resolution (ADR) scheme. However, we will engage constructively with any ADR process you choose to initiate. If you require a mediator suggestion, contact us at legal@dukanoh.com.
26. General Provisions
Entire Agreement: These Terms, together with the Privacy Policy, Prohibited Items Policy, and Cookie Policy, constitute the entire agreement between you and us.
Severability: If any provision is unenforceable, the rest remain in full force.
Waiver: Failure to enforce any provision is not a waiver of future enforcement.
Assignment: You may not assign your rights. We may assign ours to any affiliate or successor.
Third-Party Rights: No third-party rights arise under the Contracts (Rights of Third Parties) Act 1999.
